1. Who we are

These Terms & Conditions (the "Terms") govern access to and use of the upsell.travel browser extension, the website and any related services (together, the "Service") provided by ETT Solutions DMCC (the "Company", "we", "us"), Office 1701, Prime Tower, Business Bay, Dubai, United Arab Emirates. Orders placed through the Service are fulfilled through the easy to travel platform operated by the Company. By installing the extension from the Chrome Web Store, creating an account or otherwise using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

upsell.travel is a software tool for travel professionals. It displays airport-related services (such as lounge access, fast track, meet & assist, flight-delay lounge protection and travel eSIM) relevant to a booking shown on the user's screen and allows authorised users to order such services from third-party suppliers. The Service reads booking information that is already displayed in the user's own reservation system; it does not log in to, transmit commands to or otherwise operate any global distribution system ("GDS").

upsell.travel is an independent product. It is not affiliated with, endorsed by or sponsored by Amadeus, Sabre, Travelport or any airline. All trademarks remain the property of their respective owners.

3. Eligibility and accounts

The Service is intended for business use by travel agencies and travel professionals. You confirm that you act in the course of a business and are authorised to bind the agency on whose behalf you use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us without undue delay of any suspected unauthorised use.

4. Orders, prices and payment

Orders placed through the Service constitute offers to purchase services from the relevant supplier. An order is binding once confirmed in the Service. Prices are displayed before confirmation and may include applicable taxes and fees. Payment may be made from the agency's contract balance or by card through a third-party payment processor; we do not store full card details.

Where a commission or other remuneration applies to confirmed sales, its rate and settlement procedure are agreed separately with the agency and may be amended on notice with effect for future orders.

5. Cancellations and refunds

Each service displays its own refund policy before purchase. Refunds are processed in accordance with the policy applicable at the time of the order. We may refuse a refund where the request falls outside that policy. Statutory rights of business customers remain unaffected to the extent they cannot be excluded.

The Service, including its software, design, logos and content, is owned by the Company or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended business purpose. No other rights are granted.

8. Third-party services

Airport services are rendered by independent suppliers under their own terms. We act as a technology platform and, where so agreed, as a commercial intermediary. We are not responsible for the performance of the underlying service by the supplier, save where mandatory law provides otherwise.

9. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that displayed availability of third-party services is accurate at all times.

10. Limitation of liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special or consequential damages, loss of profits, loss of data or loss of goodwill arising out of or in connection with the Service. Our aggregate liability for all claims in any twelve-month period shall not exceed the total amounts paid by you to us under these Terms during that period. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Indemnity

You shall indemnify and hold the Company harmless from claims, damages and reasonable costs arising from your breach of these Terms, your violation of law or your infringement of third-party rights in connection with the use of the Service.

12. Changes to the Service and to these Terms

We may modify the Service and these Terms from time to time. Material changes will be announced through the Service or the website with reasonable advance notice. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access to it on reasonable notice, or immediately in case of material breach. Provisions which by their nature should survive termination (including Sections 7, 9, 10, 11 and 14) shall survive.

14. Governing law and disputes

These Terms are governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates. The courts of Dubai shall have exclusive jurisdiction, without prejudice to any mandatory arbitration or jurisdiction rules that may apply.

15. Miscellaneous

If any provision of these Terms is held invalid, the remaining provisions remain in force. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a corporate transaction.
